Acceptance of Terms
By accessing our website, submitting an inquiry, placing an order, or entering into any business engagement with Haozhiseng Audio (Guangzhou Haozhiseng Electronic Technology Co., Ltd.), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms").
If you are acting on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to any part of these Terms, please discontinue use of our services immediately.
Important Notice These Terms apply to all clients including purchasing managers, brand managers, project managers, distributors, wholesalers, system integrators, retailers and any other parties engaging with Haozhiseng Audio for OEM/ODM manufacturing or product procurement.
Services & Products
Haozhiseng Audio provides professional audio equipment manufacturing and related services, including but not limited to:
- Design, engineering and production of power amplifiers, professional speakers and line array speaker systems
- OEM and ODM manufacturing services including private labeling, logo printing, custom enclosure design, color selection and acoustic tuning
- Custom sample production, trial orders and mass manufacturing for global brands and distributors
- Technical consultation, pre-sales support and post-sales technical assistance
- Audio solutions for concerts, theaters, stadiums, banquet halls, event rentals and fixed commercial installations
We reserve the right to modify, expand or discontinue any service offering at any time. Material changes will be communicated to active clients in advance.
Orders & Payment
Order Confirmation
All orders must be confirmed in writing via a signed purchase order, proforma invoice, or formal written agreement. Verbal commitments do not constitute a binding order. Production commences only upon receipt of the agreed deposit or full payment as specified in the proforma invoice.
Pricing
All quoted prices are factory-direct and valid for the period specified in the quotation. Prices are subject to change based on raw material costs, order volume adjustments or currency fluctuations. Final pricing is confirmed in the proforma invoice.
Payment Terms
Standard payment terms are 30-50% deposit upon order confirmation, with the balance payable prior to shipment unless otherwise agreed in writing. Accepted payment methods include T/T bank transfer and other methods as mutually agreed. All bank charges are the responsibility of the buyer.
Order Cancellation
Orders may not be cancelled once production has commenced without written mutual agreement. Cancellation after production start may result in forfeiture of the deposit and recovery of production costs incurred to date.
OEM/ODM Engagements
OEM and ODM projects are governed by the specific terms outlined in the individual project agreement or proforma invoice. The following general provisions apply to all custom manufacturing engagements:
Client Responsibilities
- Provide accurate and complete design specifications, artwork files and technical requirements
- Review and approve samples or prototypes within the agreed timeline
- Ensure submitted brand assets and trademarks do not infringe third-party rights
Our Commitments
- Manufacture products in accordance with approved specifications and samples
- Maintain quality standards consistent with our QC process throughout production
- Protect client brand assets and not disclose design files to third parties
Tooling and mold costs, where applicable, are quoted separately and remain the property of the client upon full payment. Lead times for custom ODM projects are determined on a per-project basis and confirmed in writing prior to production.
Shipping & Delivery
Lead Times
Standard lead time for bulk orders is 3-7 business days from production completion. Orders of up to 50 amplifiers can typically be completed and dispatched within 5 business days. Lead times are estimates and may vary due to order complexity, customization requirements or force majeure events.
Shipping Terms
Default shipping terms are EXW (Ex Works) Guangzhou unless otherwise agreed. FOB, CIF or other Incoterms arrangements are available upon request and must be confirmed in the proforma invoice. Risk of loss or damage transfers to the buyer upon handover to the carrier.
Customs & Import Duties
The buyer is solely responsible for all import duties, taxes, customs clearance fees and regulatory compliance in the destination country. Haozhiseng Audio will provide accurate commercial invoices and packing lists to facilitate customs clearance.
Shipping Damage
Any damage occurring during transit must be reported to the carrier immediately upon receipt and documented with photographic evidence. Claims for transit damage must be submitted to us within 7 days of delivery. We will assist in resolving carrier claims but are not liable for losses incurred after handover to the carrier.
Warranty & After-Sales Support
2-Year Official Warranty
All Haozhiseng Audio products carry a 2-year official warranty from the date of shipment, covering manufacturing defects in materials and workmanship under normal use conditions.
Warranty Coverage
The warranty covers defects arising from manufacturing processes, component failures and workmanship under normal operating conditions. Warranty claims require proof of purchase and a description of the defect.
The warranty does not cover damage resulting from improper installation, misuse, unauthorized modification, physical damage, water ingress, use beyond rated specifications, or normal wear and tear.
Technical Support
Lifetime technical support is provided to all clients at no additional charge. Our technical team is available 18 hours daily to assist with installation guidance, troubleshooting, system configuration and product documentation for global customers across all time zones.
Warranty Claims Process
To initiate a warranty claim, contact our after-sales team at [email protected] with your order number, product serial number, description of the issue and supporting photographs. We will respond within 2 business days with resolution options.
Intellectual Property
All intellectual property rights in Haozhiseng Audio's proprietary circuit designs, acoustic engineering methodologies, product designs, technical documentation, trademarks and website content remain the exclusive property of Guangzhou Haozhiseng Electronic Technology Co., Ltd.
In OEM/ODM engagements, intellectual property ownership is determined as follows:
- Client-provided designs: Brand assets, logos, product specifications and artwork provided by the client remain the client's property. The client warrants that such materials do not infringe third-party intellectual property rights.
- Haozhiseng-developed designs: Engineering solutions, circuit designs and manufacturing processes developed by Haozhiseng Audio remain our property unless explicitly transferred in a separate written IP assignment agreement.
- Co-developed designs: Ownership of jointly developed intellectual property will be defined in the project-specific agreement prior to commencement.
Unauthorized reproduction, distribution or commercial use of Haozhiseng Audio's proprietary materials is strictly prohibited and may result in legal action.
Confidentiality
Both parties agree to treat as confidential all non-public information exchanged in connection with any business engagement, including but not limited to pricing, product specifications, design files, business strategies, customer lists and manufacturing processes ("Confidential Information").
Haozhiseng Audio will not disclose client brand assets, custom product specifications or proprietary design files to any third party without the client's prior written consent. This obligation survives the termination of any business relationship.
Confidential Information does not include information that is publicly available through no fault of the receiving party, independently developed without reference to the disclosing party's information, or required to be disclosed by applicable law or court order.
For projects requiring formal NDA arrangements, please contact our sales team to execute a dedicated non-disclosure agreement prior to sharing sensitive materials.
Limitation of Liability
To the maximum extent permitted by applicable law, Haozhiseng Audio's total liability for any claim arising out of or relating to these Terms or any order shall not exceed the total amount paid by the client for the specific products or services giving rise to the claim.
Haozhiseng Audio shall not be liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits, loss of business opportunity, loss of data, or reputational harm, even if advised of the possibility of such damages.
Exclusions from Liability
- Damage caused by improper installation, misuse or unauthorized modification of products
- Delays or failures caused by force majeure events including natural disasters, pandemics, government actions or supply chain disruptions
- Losses arising from the client's failure to comply with applicable import regulations or customs requirements in the destination country
- Transit damage or loss after handover to the freight carrier
Governing Law & Dispute Resolution
These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice. If negotiation fails, disputes shall be submitted to the competent courts or arbitration body in Guangzhou, China.
For international clients, we are committed to working cooperatively to resolve disputes in a fair and timely manner. Alternative dispute resolution mechanisms may be agreed upon in writing on a per-project basis.
Changes to These Terms
Haozhiseng Audio reserves the right to update or modify these Terms of Service at any time. The revised Terms will be posted on our website with an updated effective date. We will notify active clients of material changes via email where reasonably practicable.
Your continued use of our services or placement of orders after the effective date of any revision constitutes your acceptance of the updated Terms. We encourage you to review this page periodically to stay informed of any changes.
Orders placed prior to any revision remain subject to the Terms in effect at the time the order was confirmed, unless otherwise agreed in writing.
